Heritage Landscapes – Terms and Conditions

These Terms and Conditions (“Terms”) govern all contracts for landscape design, construction,
installation and garden maintenance services (collectively, the “Services”) provided by
Heritage Landscapes, a company based in England (“we”, “us” or “our”),
to any customer (“you” or “client”). Please read them carefully. By accepting our quotation,
placing an order or paying a deposit you agree to these Terms.

1. Quotations and Acceptance

  • All quotations are valid for 30 days unless otherwise stated.
    Quotations are based on our understanding of your requirements, site conditions and supplier prices at the time of issue.
    Subsequent changes may require a revised quotation.
  • A contract is formed when you accept our quotation (by signing or confirming via email)
    and pay the required deposit.

2. Deposits and Payment Schedule

  • Deposit: We require a non-refundable deposit (typically 30–50% of the project value)
    to secure your place in our schedule and to cover initial design work and ordering of materials.
    Industry practice indicates that bespoke items may require a larger upfront payment.
    The exact deposit percentage and schedule will be stated in your quotation or invoice.
  • Instalment Payments: To make our services more accessible, we offer staged payments.
    After paying the deposit, you may pay the balance in instalments at agreed milestones, such as
    commencement of construction, delivery of materials and completion of key phases.
    Payment due dates and amounts will be clearly set out in your payment schedule.
    Failure to pay instalments on time may delay works or result in late fees and suspension of services.
  • Final Payment: The final balance is payable upon practical completion,
    which occurs when the project or phase is substantially complete and fit for use even if minor items remain to be finished.
    If payment is not received within 14 days, we reserve the right to charge interest at 4% above the Bank of England base rate
    and withhold handover documentation, design plans or warranties until full payment is received.

3. Custom Products and Order Lead Times

  • Many of our projects involve custom-made items (e.g., bespoke furniture, planters, pergolas or stonework)
    that we source from specialist manufacturers. These items are ordered to your specification and cannot be resold.
    Lead times can vary from 8–16 weeks or more depending on supplier workload, material availability and shipping.
    We will inform you of estimated lead times; however, these are not guaranteed.
  • Payment for custom products is generally due at the time of ordering because we must pay our suppliers upfront.
    If you cancel after a custom order has been placed, you may remain liable for the full cost of those items.

4. Ownership and Risk

  • Retention of Title: All designs, plans, drawings and intellectual property remain the property of
    Heritage Landscapes until full payment has been received. Materials supplied and installed remain our property until paid in full.
    Risk of loss or damage to materials passes to you upon delivery to site.
  • Intellectual Property: Our designs may not be used for any purpose other than the project specified
    without our written consent. You agree not to reproduce, distribute or allow third parties to use our designs without permission.

5. Scope of Work and Variations

  • The scope of the Services will be described in the accepted quotation.
    Any variations or additions must be agreed in writing and may incur additional costs and adjustments to the project timeline.
  • Changes requested after orders have been placed or construction has started may require re-quoting
    and might be subject to supplier cancellation fees.

6. Site Preparation and Access

  • You are responsible for providing clear and safe access to the site and for ensuring that water,
    electricity and toilet facilities are available. You must inform us of any underground services
    (e.g., irrigation lines, drainage, electrical cables) prior to work commencing.
    We cannot accept liability for damage to unmarked services.
  • We will take reasonable care to avoid damage to property; however, garden works may involve heavy machinery
    and earth movement. We are not responsible for pre-existing structural issues or consequential damage
    (e.g., subsidence, cracking) caused by latent defects or unstable ground conditions.

7. Timeline and Delays

  • We will make every effort to complete the project within the estimated timeframe; however,
    installation of bespoke items, severe weather, unforeseen site conditions or supplier delays
    may extend the timeline. We will keep you updated and will not be liable for delays outside our control.
  • If you cause delays (e.g., by failing to provide information, by not making payments or by not granting access),
    we may adjust the timeline and charge additional costs for re-mobilisation or storage.

8. Cancellation and Suspension

  • You may cancel your project by providing written notice. If you cancel after the deposit has been paid,
    we reserve the right to retain the deposit to cover administrative costs, design time and any materials ordered.
    For bespoke items already ordered, you will be liable for the supplier’s cancellation charge or the full cost
    if manufacturing has started.
  • We may suspend work if payments are not made when due or if site access is unsafe.
    In such cases, we may charge for additional costs incurred due to demobilisation and re-mobilisation,
    as well as interest on overdue amounts.

9. Warranties and Maintenance

  • We provide a 12-month workmanship warranty on hard landscaping
    (e.g., patios, walls, structures) starting from practical completion,
    provided that appropriate maintenance is carried out and the area is not subject to misuse or extreme weather events.
    Manufacturer warranties apply to plants, materials and products where available.
    Plant survival depends on correct care; we cannot guarantee the lifespan of plants once installation is complete.
  • Ongoing garden maintenance is essential. We offer year-round maintenance plans tailored to your garden’s needs.
    Failure to carry out recommended maintenance may void warranties.

10. Liabilities and Insurance

  • We hold public liability and employer’s liability insurance appropriate to our trade.
    Our liability for any loss or damage (other than death or personal injury caused by negligence)
    is limited to the amount paid for the Services. We are not liable for indirect or consequential losses.
  • Nothing in these Terms affects your statutory rights under consumer law.

11. Personal Data

  • We will collect and process your personal information in accordance with our privacy policy
    (available on request). We use your data solely to deliver our Services and communicate with you.
    We do not sell or rent your data to third parties.

12. Governing Law

  • These Terms are governed by and construed in accordance with the laws of England and Wales.
    Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction
    of the English courts.

13. Customer Protections

  • We aim to provide clarity and peace of mind. If we are unable to fulfil an order due to supplier failure
    or circumstances beyond our control, you will be entitled to a refund of any payments relating to the
    unfulfilled portion of the contract or a mutually agreed alternative.
  • If you have concerns or wish to raise a complaint, please contact us in writing.
    We will endeavour to resolve any issues promptly and fairly.
